Service.
Yutie Consulting provides technology consultancy and digital services on a retainer basis. The specific scope of services, deliverables, and timelines for each engagement are defined in a written Scope of Work agreed between Yutie Consulting and the client prior to the commencement of work.
All Yutie Consulting engagements are structured as monthly retainers across three tiers: Foundation, Active, or Partner. There is no hourly billing and no one-time project pricing outside of an agreed retainer structure. The retainer tier and fee are specified in the Scope of Work.
Retainer fees are invoiced monthly and are due within 14 days of the invoice date unless otherwise specified in the Scope of Work. Overdue invoices may result in a suspension of services. Interest on overdue amounts may be applied at the rate of 1.5% per month after 30 days.
Upon full payment of all fees, you own all deliverables created specifically for your engagement. Yutie Consulting retains ownership of any pre-existing tools, frameworks, code libraries, or methodologies used in delivery. We retain the right to reference your organisation as a client and include work in our portfolio, unless you request otherwise in writing.
Yutie Consulting treats all information shared during an engagement as confidential. We do not share client information with third parties except as required by law or as necessary to deliver the agreed services. Clients are expected to treat Yutie's proprietary methodologies, pricing, and internal processes as confidential.
- Provide necessary access to systems, platforms, and information required for the engagement
- Review and respond to deliverables within the agreed timeframes
- Designate a primary contact for the engagement
- Notify us promptly of any changes that materially affect the scope of work
Yutie Consulting's liability for any claim arising from this engagement shall not exceed the total fees paid in the three months immediately preceding the event giving rise to the claim. We are not liable for indirect, consequential, or incidental damages.
Either party may terminate an engagement with 30 days written notice. Fees for the notice period are payable in full. Yutie Consulting may terminate immediately in the event of non-payment or material breach of these terms.
These terms are governed by the laws of Kenya. Any disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the jurisdiction of the courts of Nairobi, Kenya.
